Affiliate Terms & Conditions

These Affiliate Terms & Conditions (“Terms”) govern your participation in the DigiBioLink Affiliate Program (“Program”), operated by DigiBioLink (“we”, “us”, “our”). By signing up or participating as an Affiliate, you agree to these Terms, along with our Terms of Service, Privacy Policy, Acceptable Use Policy, and other applicable agreements.

These Terms outline the rules, expectations, commissions, restrictions, and operational requirements for all affiliate partners promoting DigiBioLink services.

1. Eligibility

To participate in the Affiliate Program, you must:

- Be at least 18 years old
- Have a valid email address, payment method, and verified account
- Provide accurate identity or business details during onboarding
- Comply with all DigiBioLink policies

DigiBioLink reserves the right to approve or reject any affiliate application at its sole discretion.

2. Affiliate Responsibilities

As an Affiliate, you agree to:

- Promote DigiBioLink ethically and accurately
- Follow all branding, messaging, and compliance guidelines
- Use only approved promotional materials unless otherwise permitted
- Avoid misleading, false, or exaggerated claims
- Disclose your affiliate relationship to your audience (FTC-compliant disclosure)
- Represent DigiBioLink professionally and respectfully

Affiliates are responsible for ensuring their promotional activities comply with local laws, advertising regulations, and online platform rules.

3. Affiliate Links and Tracking

Once approved, Affiliates receive:

- A unique referral link or referral code
- Access to an affiliate dashboard (where applicable)
- Tools for tracking sales, clicks, and commissions

Affiliates must not:

- Manipulate tracking systems
- Use fraudulent clicks, bots, or artificial traffic
- Tamper with cookies or tracking parameters

Any attempt to deceive or manipulate the tracking process will result in immediate termination.

4. Commission Structure

a. One-time Commissions

Earned for sales of:

- One-time setup packages
- NFC card purchases (if applicable)
- Single-purchase digital products

b. Recurring Commissions

Earned for:

- Monthly or annual subscription plans
- Platform access fees
- Add-on features and upgrades

Recurring commissions continue as long as the customer remains active and their payments are successful.

c. Performance or Tier Bonuses

Provided for milestones such as:

- Monthly sales volume
- Number of referred clients
- Partner-level achievements

DigiBioLink will publish the current commission rates, which may change with notice.

5. Payment Schedule

- Commissions are paid out monthly, subject to a minimum payout threshold.
- Payments are issued via the method chosen in your affiliate dashboard.
- A 14–30 day holding period may apply to allow for refunds or cancellations.

Affiliates are responsible for providing correct payment details. Failed transactions may incur processing delays.

6. Refunds & Chargebacks

If a customer requests a refund, cancels their plan, disputes a payment, or issues a chargeback:

- The corresponding affiliate commission will be deducted from the next payout
- If no upcoming payout is available, the amount may be owed by the Affiliate

Affiliates must not encourage customers to buy with the intention of refunding or churning.

7. Prohibited Affiliate Activities

a. Misrepresent DigiBioLink

- Claim to be DigiBioLink staff, official partner, or exclusive distributor
- Promise features not officially supported
- Offer unauthorized discounts or guarantees

b. Engage in Forbidden Marketing Practices

- Spam emails, bulk unsolicited messages
- Keyword bidding on DigiBioLink brand names
- Fake reviews or deceptive endorsements
- Cloaked URLs or masked affiliate links

c. Misuse Branding

- Use DigiBioLink logos or trademarks without approval
- Register similar domain names or impersonating domains
- Create social pages pretending to be DigiBioLink

d. Violate Laws or Platform Rules

- Misleading advertising
- Affiliate fraud
- Use of bots/artificial traffic generation

Any violation may result in:

- Commission forfeiture
- Suspension or termination
- Legal action in severe cases

8. Relationship of Parties

Affiliates are independent contractors, not employees, partners, franchisees, or representatives of DigiBioLink.

You may not:

- Act on behalf of DigiBioLink
- Enter contracts claiming DigiBioLink authority
- Provide customer support masquerading as DigiBioLink

All communication beyond your scope must be directed to official DigiBioLink channels.

9. Marketing Materials

Affiliates may use:

- Official banners, images, and marketing assets
- Custom materials approved in writing
- Their own content as long as it complies with this Policy

DigiBioLink may request modifications or takedowns at any time.

10. Data & Privacy Compliance

Affiliates must comply with:

- GDPR
- CCPA
- Local privacy and data protection laws

Affiliates must not:

- Collect customer data on DigiBioLink’s behalf
- Store, sell, or misuse user information
- Access personal data beyond what is explicitly provided

11. Termination

DigiBioLink may terminate an Affiliate account if:

- You violate these Terms
- Fraud or policy abuse is detected
- You remain inactive for an extended period
- DigiBioLink discontinues the Program

Upon termination:

- All unpaid commissions may be forfeited
- Affiliate links will be disabled
- You must stop using all DigiBioLink branding

Affiliates may voluntarily leave the program at any time.

12. Program Modifications

DigiBioLink reserves the right to:

- Update commission rates
- Modify program features
- Change tracking systems
- Pause or discontinue the Program

Changes will be announced via email or dashboard notification.

13. Limitation of Liability

DigiBioLink is not liable for:

- Loss of commissions due to technical issues
- Service outages or downtime
- Tracking errors caused by browser settings or user behavior
- Loss of income due to program changes

Affiliates participate at their own risk.

14. Governing Law

These Terms are governed by the applicable laws where DigiBioLink operates. Legal disputes shall be resolved through arbitration or courts designated by DigiBioLink.
