Welcome to DigiBioLink. These Terms and Conditions (“Terms”) govern your access to and use of the DigiBioLink platform, websites, applications, tools, reseller modules, NFC/QR redirection services, digital vCard builder, link-in-bio pages, and all associated services (collectively, the “Service”, “Platform”, or “DigiBioLink”).

By accessing or using DigiBioLink, you agree to be bound by these Terms. If you do not agree, you must stop using the Service immediately.

1. Eligibility

- You must be 18 years or older, or the legal age of majority in your jurisdiction.
- By using DigiBioLink, you represent that:

- You have the legal authority to enter into this Agreement.
- If you are using the Service on behalf of a business, you are authorized to bind that business to these Terms.

2. Service Description

DigiBioLink provides a platform for:

- Digital business card creation (vCard / VCF)
- Link-in-bio pages
- Mobile-friendly microsites
- QR/NFC card redirection management
- Client profiles and workspaces
- PRO reseller accounts
- Campaign-based profile creation (multiple profiles under one workspace)
- Analytics, automation tools, and integrations with third-party services

The Service may include both subscription-based access and one-time paid offerings such as setup services or specialized design packages.

3. Account Registration and Access

- To use certain features, you must create an account.
- You agree to provide accurate, complete, and up-to-date information.
- You are responsible for:

- Maintaining confidentiality of your credentials
- All activity under your account

- DigiBioLink is not liable for unauthorized access resulting from your failure to secure your login details.

We may refuse, suspend, or terminate accounts that:

- Provide false information
- Violate these Terms
- Pose a security or integrity risk to the Platform

4. License and Usage Rights

DigiBioLink grants you a limited, revocable, non-transferable license to use the Platform for personal or business purposes according to your purchased plan.

You may not:

- Reverse engineer, decompile, or copy the Service
- Resell DigiBioLink services unless enrolled as a PRO Reseller
- Use automated scripts to extract or copy platform content
- Interfere with system integrity or security

All rights not expressly granted are reserved by DigiBioLink.

5. Subscriptions, Pricing, and Payments

- Access to premium features may require a subscription or one-time payment.
- Prices may change. Notice will be provided for subscription renewals.
- Subscription fees are charged automatically unless canceled according to our policy.
- Taxes may apply depending on your location.

Failure to complete payment may result in:

- Suspension of your account
- Removal of clients or workspaces
- Loss of access to premium features

6. Refund and Cancellation

DigiBioLink follows the policy outlined in its Refund & Cancellation Policy (provided separately). Key principles:

- Subscription fees are typically non-refundable, except as required by law.
- PRO Account enrollment fees are non-refundable.
- If a subscription renews and you wish to cancel, refunds may not be granted for unused time.
- One-time setup or service fees are non-refundable once work has begun.

7. Workspaces, Clients, Campaigns & Limits

7.1 Workspace System

- Workspaces allow you to organize client projects and campaigns.
- Each workspace may contain multiple campaigns (vCards, link pages, microsites).

7.2 Client Assignment

- Certain plans allow adding a limited number of active clients at a time.
- Removing a client frees up a slot, but the client will lose login access.
- If a client needs modifications after removal, the account owner (or reseller) must perform edits on their behalf.

7.3 Campaign-Based Profiles

Some workflows allow:

- Using one login email for multiple campaigns
- Giving clients access only to their assigned campaign via a secure editing link
- Naming workspaces and campaigns strategically for tracking (recommended, but not required)

You are responsible for your naming system, URL conventions, and client organization.

8. vCards, Link Pages, QR/NFC Usage

- DigiBioLink provides tracking URLs for each campaign.
- URLs must not be modified manually unless you fully understand their structure.
- QR/NFC redirection relies on the accuracy of the URLs you configure.
- Any misuse, incorrect URL assignment, or misconfiguration caused by the user or reseller is solely their responsibility.

9. Content Ownership & Intellectual Property

9.1 User Content

You retain ownership of:

- Text
- Images
- Logos
- Media you upload

By uploading content, you grant DigiBioLink a non-exclusive, royalty-free license to process, display, and transmit such content solely for the purpose of providing the Service.

9.2 Platform Rights

DigiBioLink owns:

- Platform design
- Software
- Templates
- Layouts
- Dashboard interface
- Branding and graphics
- All proprietary features

Unauthorized copying or replication is strictly prohibited.

10. Acceptable Use Policy

You agree NOT to use the Service to:

- Engage in illegal, fraudulent, harmful, or misleading activities
- Upload malicious code, spam, or harmful scripts
- Impersonate individuals or businesses
- Host adult, violent, hateful, or discriminatory content
- Violate privacy or intellectual property rights
- Interfere with the performance or security of the Platform

DigiBioLink may suspend or terminate accounts for violations.

11. Third-Party Tools & Integrations

The Platform may integrate with third-party services (e.g., WhatsApp API links, Google Calendar, payment gateways, email tools).

You acknowledge that:

- Third-party tools have their own terms
- DigiBioLink is not responsible for outages, failures, or data issues caused by third-party services
- You must comply with all third-party terms when using such integrations

12. PRO Accounts, Reseller Terms & Client Responsibility

12.1 Enrollment

- PRO enrollment requires a one-time, non-refundable fee.
- PRO accounts unlock reseller tools, client assignments, and workspace features.

12.2 Reseller Responsibilities

You are solely responsible for:

- Managing your clients
- Setting your own pricing
- Providing support to your customers
- Maintaining URL accuracy
- Naming conventions
- Workspace/campaign assignment

12.3 Liability

- DigiBioLink is not liable for disputes between resellers and their customers.
- Any misconduct by a reseller may result in:

- Suspension
- Termination
- Revocation of reseller/PRO privileges

12.4 Reseller Data Submission

For accurate QR/NFC redirection:

- You must provide correct URLs if you deviate from recommended naming conventions.
- Failure to do so may result in non-functional links, for which DigiBioLink is not responsible.

13. Data Retention, Privacy & Security

Your use of the Service is subject to the Privacy Policy.

DigiBioLink takes reasonable measures to protect data but:

- Cannot guarantee absolute security
- Is not responsible for incidents caused by your misuse, weak passwords, or sharing credentials

We may retain certain technical logs for security and legal compliance.

14. Disclaimer of Warranties

The Service is provided “as is” and “as available”, without warranties of any kind, including:

- uninterrupted service
- error-free performance
- integration compatibility
- guaranteed uptime

You assume all risks associated with using the Platform.

15. Limitation of Liability

To the fullest extent permitted by law:

- DigiBioLink is not liable for indirect, incidental, special, punitive, or consequential damages.-
- Our total liability for any claim shall not exceed the amount paid by you in the preceding 12 months.
- Resellers are responsible for any damages arising from their own client relationships.

16. Indemnification

You agree to indemnify and hold harmless DigiBioLink, its owners, employees, and affiliates from any claims, damages, or losses arising from:

- Your use or misuse of the Service
- Your content
- Your interactions with clients (if you are a reseller)
- Violations of these Terms

17. Termination & Suspension

We may suspend or terminate your account if:

- You violate these Terms
- You engage in harmful or fraudulent activities
- Required payments fail
- You misuse PRO or reseller privileges

Upon termination:

- Access to the Platform may be revoked immediately
- Data may be deleted permanently unless retention is required by law

18. Modification of Terms

We may update these Terms at any time. When we do:

- The laws of Bangladesh for users served under Digit Etcetera
- The laws of Delaware, USA where applicable for international processing

Any disputes shall be resolved under the appropriate applicable jurisdiction.

19. Governing Law

These Terms are governed by:

- We will update the “Last Updated” date
- We may notify you via email or platform notice
- Continued use after changes constitutes acceptance
