This PRO Account & Reseller Agreement (“Agreement”) outlines the terms and conditions governing the use of DigiBioLink’s PRO Account features, reseller permissions, benefits, duties, and limitations. It applies to all users who enroll as resellers, PRO partners, or agencies (“Reseller,” “You”).
By registering for or using a DigiBioLink PRO Account, you acknowledge that you have read, understood, and agreed to this Agreement. This Agreement forms part of DigiBioLink’s Terms of Service and binds all PRO and Reseller users.
1. Definitions
- “DigiBioLink” refers to the service provider offering digital business cards, link-in-bio pages, and associated tools.
- “Reseller/PRO Account User” refers to individuals or organizations using a PRO account to onboard clients and resell access.
- “Client” refers to a customer onboarded, managed, or billed by the Reseller.
- “Platform” refers to the DigiBioLink dashboard, tools, builder, templates, analytics, and digital card features.
- “Reseller Code” refers to the unique onboarding code assigned to each PRO Account for client association.
2. Eligibility
To qualify as a PRO Account user or reseller, you must:
- Be at least 18 years old
- Register using accurate identity and business information
- Not be previously banned from DigiBioLink
- Agree to DigiBioLink’s Terms of Service, AUP, and Privacy Policy
DigiBioLink reserves the right to approve, reject, or suspend any reseller at its discretion.
3. Scope of Reseller Rights
3.1 Right to Resell DigiBioLink Services
Resellers are granted the right to:
- Sell DigiBioLink digital business cards, link-in-bio pages, and related features
- Set their own pricing for end-users
- Manage, support, and assign clients via the reseller dashboard
- Earn revenue directly from their client sales
3.2 Non-Exclusive Agreement
This is a non-exclusive partnership. DigiBioLink may appoint additional resellers without limitation.
3.3 No Ownership Rights
Resellers do not own:
- The DigiBioLink platform
- Underlying software
- Intellectual property, branding, or trademarks
- The source code, backend systems, or infrastructure
The reseller agreement only grants usage and selling rights.
4. Reseller Responsibilities
Resellers agree to:
4.1 Provide Accurate Information
Maintain accurate business and personal details.
4.2 Ensure Client Compliance
Resellers are responsible for:
- Screening their clients
- Ensuring compliance with DigiBioLink’s AUP and Terms
- Removing or updating violating content when notified
4.3 Provide Frontline Support
Resellers must:
- Offer primary support to clients
- Handle troubleshooting
- Manage client onboarding
DigiBioLink offers backend support to resellers, not directly to their clients.
4.4 Maintain Professional Conduct
Resellers may not:
- Use deceptive sales practices
- Misrepresent product capabilities
- Misuse DigiBioLink branding
- Promise features that do not exist
5. Reseller Code Use
Each reseller receives a unique alphanumeric code used to assign clients to their dashboard.
Resellers must not:
- Publicly leak their code in mass-distribution forums
- Sell or trade codes without authorization
- Generate fraudulent accounts
- Reassign clients without proper consent
DigiBioLink reserves the right to revoke or regenerate codes when necessary.
6. Branding & Representation Rules
6.1 Permitted
Resellers may:
- Use their own business name, branding, logo
- Present themselves as an independent seller of digital card services
- State they are “authorized resellers” of DigiBioLink
6.2 Not Permitted
Resellers may not:
- Claim ownership of DigiBioLink technology
- State or imply that DigiBioLink is owned by their company
- Pretend to be DigiBioLink staff
- White-label the platform as their own proprietary software
Clear differentiation must be maintained.
7. Pricing & Billing
7.1 Freedom to Set Pricing
Resellers are free to:
- Price their service packages
- Offer discounts, bundles, or custom pricing
7.2 Billing
Resellers handle their own:
- Invoicing
- Client payments
- Refunds (if they choose to offer them)
DigiBioLink bills the reseller only for their own purchased plans—not individual clients.
8. Reseller Earnings
All revenue generated from clients belongs to the reseller.
Unless mentioned otherwise in the plan, DigiBioLink does not:
- Charge commissions on reseller earnings
- Interfere with client pricing
- Process client payments on behalf of resellers
Resellers are responsible for their own tax compliance and reporting.
9. Intellectual Property Rights
- DigiBioLink retains full ownership of the platform software, templates, dashboard, icons, tools, and system designs.
- Resellers may not modify, copy, reverse-engineer, redistribute, or attempt to extract the software.
- Resellers may use marketing assets provided to them as permitted.
10. Prohibited Reseller Activities
Resellers may not:
- Engage in illegal, abusive, or deceptive marketing
- Promote prohibited content under the AUP
- Host or sell services via DigiBioLink to customers dealing in:
- scams
- adult/explicit content
- hate/extremist groups
- counterfeit goods
- illegal drugs
- weapons
- Circumvent platform billing rules
- Sell platform access without onboarding clients properly
- Misuse the PRO features to impersonate clients
11. Data Protection & Privacy
Resellers must follow:
- Applicable data laws
- DigiBioLink’s Privacy Policy
- Transparent and ethical data use
Resellers are responsible for safeguarding the data they collect from their clients.
12. Termination
DigiBioLink may terminate a reseller account if:
- The reseller violates this Agreement or the AUP
- Fraudulent activities are detected
- Illegal or harmful behavior is found
- The reseller engages in brand misrepresentation
- Security risks are created by the reseller
Upon termination:
- Reseller dashboard access is revoked
- Clients may be reassigned directly to DigiBioLink
- Outstanding dues remain payable
Resellers may also voluntarily cancel their account at any time.
13. Limitation of Liability
DigiBioLink is not liable for:
- Loss of profit or earnings
- Damage to reseller reputation
- Misconduct by the reseller’s clients
- Issues caused by misuse of the platform
- Revenue losses due to reseller mistakes
The platform is provided "as-is" and "as-available."
14. Modifications
DigiBioLink may update this Agreement at any time. Continued use of the PRO Account indicates acceptance of the revised terms.
